1. Services

HigherEra provides marketing, customer-communication, automation, and related consulting services to businesses. The specific scope, deliverables, fees, and duration of any engagement will be described in a separate service agreement, proposal, or order form between you and HigherEra. In the event of a conflict, that signed agreement controls over these Terms for the services it covers.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use our services. If you use our services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

3. Communications and SMS Consent

By providing your contact information, you agree that we may contact you by email, phone, and, where you have opted in, text message, in connection with your inquiry and our services.

Text messaging. If you opt in to SMS, message frequency varies, and message and data rates may apply. You can opt out at any time by replying STOP, or reply HELP for help. 4. Fees and Payment

Fees for services, including any one-time setup fees and recurring monthly fees, are set out in your service agreement, proposal, or order form. Recurring fees are billed in advance on a subscription basis until cancelled in accordance with your agreement. Unless otherwise stated, fees are non-refundable. Late or failed payments may result in suspension of services.

5. Client Responsibilities

• Provide accurate information and any materials or access we reasonably need to deliver the services;
• Use the services in compliance with all applicable laws, including messaging, marketing, and privacy laws;
• Obtain all necessary consents from your own contacts before we send messages on your behalf.

6. Acceptable Use

You agree not to use our services to send unlawful, deceptive, harassing, or unsolicited messages, or to violate the policies of any carrier, platform, or messaging provider. You are responsible for the content you ask us to send on your behalf.

7. Intellectual Property

All content on our website and the systems, templates, and materials we develop remain the property of HigherEra or its licensors, except for content you provide or deliverables assigned to you under a separate agreement. You may not copy, resell, or redistribute our materials without permission.

8. Third-Party Services

Our services may rely on third-party platforms and providers. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

9. Disclaimers

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee any specific results, revenue, or outcomes from using our services.

10. Limitation of Liability

To the maximum extent permitted by law, HigherEra will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising from your use of our website or services. Our total liability for any claim will not exceed the amount you paid us for the services giving rise to the claim in the three months before the claim.

Either party may terminate an engagement as described in the applicable service agreement. We may suspend or terminate access to our website or services if you breach these Terms.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules.
